Participation in MilkyStar games is free purely for entertainment, and no purchase or real money payment is required to play or increase your chances of winning. While success in our free-to-play contests might be rewarding, it doesn't guarantee or indicate similar outcomes in real-money gambling scenarios. Some regions may have legal restrictions on participation listed on section 12.

To participate in MilkyStar’s sweepstakes or use our services, you must be located either in the United States—excluding Idaho and Washington, and its outlying territories. Our entertainment and promotional games, which require an entry fee but offer no prizes with external value, are accessible to individuals aged 18 or older. However, participants from Washington (WA) state, Michigan, Nevada and Idaho are excluded at the time of using the Services. Ensure you meet specific game rules before participating. If you're accessing our services, you must be a legal resident of the eligible regions and be at least 18 years old or of the age of majority in your residence jurisdiction.

1. Participation Guidelines and Conduct

  • You must be a legal resident of the United States (including the District of Columbia but excluding territories like Washington and Idaho).

  • At the time of accessing MilkyStar services, you must be physically located in the aforementioned eligible regions and participants from Washington and Idaho are excluded at the time of using the Services. 

  • Employees, directors, and officers of MilkyStar, its affiliates, contractors, distributors, and advertising agencies, and their immediate family members, are not eligible to participate.

  • Participation from regions where online social casino activities are illegal is strictly prohibited.

  • Users are responsible for ensuring compliance with their local laws before registering or participating.

  • Residency Restrictions:

    • For standard gameplay, you cannot reside in or access MilkyStar from our specified excluded territories.

    • For promotional gameplay, you cannot reside in or access MilkyStar from the excluded territories.

    • Before participating in our entertainment video games, ensure your local jurisdiction permits such activities. Participation is void where prohibited, affecting prize eligibility, promotions and refunds. Use our services at your own risk; you won't receive refunds or promotional prizes related to our promotional games. When using our services, you do so at your own risk. 

    • Purchase of Gold Coins made from any restricted territories will be voided and refunded, we will initiate a refund of your purchase. Please be aware we will deduct a reasonable administrative fee, where legally permissible, from the refund amount. Be aware that additional charges may be applied by your bank or financial institution during the refund process. These charges are separate from any fees MilkyStar might deduct.

  • Purpose of Participation:

    • Engage in MilkyStars games solely for personal entertainment and recreation.

    • Ensure you are playing on your own behalf and not representing another individual or entity.

  • Information Integrity:

    • Provide accurate, complete, and current information to MilkyStar. Inform us promptly of any changes.

  • Financial Conduct:

    • Use legally obtained funds for in-game purchases, like Gold Coins.

    • Do not use funds associated with illegal activities or sources.

    • Purchase Gold Coins using a personal account, not a business or corporate account.

  • Fair Play:

    • Refrain from any fraudulent, collusive, or unlawful activities during gameplay.

    • Do not use automated software (e.g., bots) or hardware devices to play.

    • MilkyStar reserves the right to void any participation if suspicious behavior is detected.

  • Payment Methods:

    • Use only valid payment methods that legally belong to you for purchasing Gold Coins.

  • Trading Restrictions:

    • Do not sell, trade, or attempt to monetize any in-game assets or merchandise provided by MilkyStar.

  • Refund Process:

    • Initiate a refund for the full amount of your purchase.

  • Administrative Fees:

    • Deduct a reasonable administrative fee, where legally permissible, from the refund amount.

  • Users must provide accurate, current, and complete information during the registration process.

  • You are responsible for safeguarding your account credentials. Any unauthorized use of your account should be reported to MilkyStarSlots immediately.

  • MilkyStarSlots reserves the right to suspend, terminate, or refuse service to any user without prior notice for violations of these terms or for any other reason.

IF YOU RESIDE IN, OR ARE CURRENTLY LOCATED WITHIN, THE OUTLYING TERRITORIES OF THE UNITED STATES, THE STATE OF WASHINGTON AND IDAHO AND MAKE A GOLD COIN PURCHASES WITHIN THE PLATFORM, YOUR TRANSACTION WILL BE DEEMED VOIDED AND INVALID. MilkyStar WILL VOID AND REFUND THIS AMOUNT. BE AWARE THAT ADDITIONAL CHARGES MAY BE APPLIED BY YOUR BANK OR FINANCIAL INSTITUTION DURING THE REFUND PROCESS. THESE CHARGES ARE SEPARATE FROM ANY FEES MilkyStar MIGHT DEDUCT.

User Agreement Clarity Statement

By entering into this document, you confirm the following:

  1. Service Access and Location Services: You qualify to use our Services as outlined. If you're accessing our Services via a mobile device, activating location services might be necessary for both your device and the mobile application.

  2. Source of Funds: The funds you deploy for Social Games are legitimate, untainted by any illegal activities or sources. Specifically, these funds:

    • Do not stem from any unlawful activities or dubious means.

    • Are drawn from a personal account registered under your name, ensuring no association with business or corporate accounts.

  3. Ethical Participation: You pledge to uphold the integrity of our platform by:

    • Refraining from any deceitful, collusive, or other illicit activities during your or any third party's participation in the Social Games and/or Sweepstakes.

    • Not employing any software tools, like bots, or hardware devices designed to automate gameplay or gain an unfair advantage.

    • Additionally, for the smooth operation and integrity of our platform, we maintain the prerogative to modify, discontinue, or restrict your access to our Services at any given time, without prior notification, based solely on our judgment and discretion. 

    • By participating in MilkyStars games, you acknowledge and agree to these guidelines, ensuring a transparent and enjoyable experience for all participants. 

2. MilkyStar User Agreement, Registration, and Management

  • Account Creation and Management

    • Opening an Account: 

      • To enjoy the games offered on our platform, users must first establish an account. This involves selecting a unique account name and password, and providing accurate details as requested during registration. The name associated with your account should match your legal identity and any payment methods used. Users are strictly prohibited from using account names or passwords that contain hate speech, offensive language, or infringe on intellectual property rights.

    • Account Set-up Process

      • Terms Agreement: Familiarize yourself with and agree to all terms and conditions outlined in this Agreement during the account creation process.

      • Personal Details: Ensure you provide all necessary personal information as prompted.

      • Account Credentials: Set up your unique username and password. Remember, these credentials are confidential and should not be shared.

      • When registering and providing details on the MilkyStar platform, it's essential to offer accurate, current, and complete information. Misrepresentation or provision of false details may lead to account suspension or termination.

      • Gameplay and Location Consent: By creating an account, you automatically consent to MilkyStar monitoring and recording your gameplay activities and geographic location.

    • Single Account Policy: 

      • Users can only open and maintain one account. Any attempts to operate multiple accounts may result in the closure of all associated accounts and forfeiture of any in-game assets.

    • Account Security: 

      • Your account is solely for your benefit. Ensure that your login details, password, and payment information remain confidential. Disclosing these details to third parties is prohibited. You bear full responsibility for all activities linked to your account, including unauthorized purchases. If you suspect any compromise of your including loss, theft or unauthorized disclosure of your password and Customer Account details, notify us immediately.

      • You are solely accountable for any unauthorized access or activity linked to your Customer Account, even if it's by minors (which in all events is prohibited).

      • You are responsible for all activities that occur through your Customer Account. If someone else accesses and violates the Terms of Service or engages in illegal activities using your account, it may result in termination.

      • MilkyStar is not liable for any misuse or abuse of your Customer Account by third parties due to your intentional or unintentional disclosure of login details.

      • You bear the sole responsibility for keeping your password confidential. Any actions, including purchases made through your Customer Account, will be attributed to you, regardless of whether you authorized them.

      • MilkyStarSlots reserves the right to suspend, terminate, or refuse service to any user without prior notice for violations of these terms or for any other reason.

    • Account Login Methods:

      • Direct Login: Users can access their MilkyStar account by using their unique username and password.

  • Facebook and Google Login: Users can also choose to log in using their Facebook or Google credentials. By opting for these methods, users consent to share specific account details with MilkyStar.

  • In-game Assets and Transactions:

  • Gold Coins and Starsweep Coins: Transferring or accepting these in-game assets between accounts is strictly prohibited. Users are also forbidden from offering these assets for sale or any other form of transfer.

  • Account Inactivity: Accounts with no activity for six (6) months may be deactivated at our discretion.

  • Prize Redemption: If you haven't completed all necessary documentation to redeem a prize, and we can't contact you within a reasonable timeframe, you may forfeit the prize.

  • Account Closure:

  • Users can request account closure by contacting [email protected]. Upon deciding to close your account, ensure you withdraw any remaining balance within seven days. Post this period, any remaining balance will be forfeited Closing your user Account will forfeit all continued access to and right to use, enjoy or benefit from any Gold Coins, Starsweeps Coins and unredeemed Prizes associated with your User Account.

  • Merely uninstalling the MilkyStar mobile application does not terminate your account. To close your account, please reach out to our Customer Support at [email protected]. Upon account closure, any prizes that have met all the necessary conditions will be issued to you.

  • If your account remains inactive for a continuous period of 60 days, we may classify it as an "Inactive Account." MilkyStar holds the right to suspend, terminate, or close such accounts.

  • For Inactive Accounts with unclaimed prizes that have fulfilled all conditions, the unissued prizes might be considered as per the prevailing laws. Which may involve treating the funds as “abandoned” and transferring them to the relevant governmental authority responsible for unclaimed assets.

  • Responsible Gaming:

  • We reserve the right to limit, suspend, or close accounts at our sole discretion. This can be due to breaches of this agreement, suspected fraudulent activities, or any other reason we deem necessary.

  • Unauthorized or fraudulent purchases may result in account suspension, closure, and other actions as deemed appropriate.

  • Early Access and Website Interference:

    • We might offer select users early access to our website or specific functionalities. During this period, some features might be disabled. Users participating in early access acknowledge the limitations and agree to have no recourse against us for their experience during this period.

    • Users are strictly prohibited from attempting to damage, hack, or interfere with the website in any manner. Any such actions will result in legal consequences and potential damages.

3. Game Participation

  • Understanding Game Rules: 

  • Before engaging in any game on our platform, ensure you fully comprehend its rules. The rules, especially those concerning Starsweep Coins, are integral to our Terms and Conditions. Familiarize yourself with them, especially aspects like Fairplay Requirements and consequences of irregular play.

  • We can declare a game void in its entirety or partially if we discern errors in aspects like the pay-table, win-table, stakes, or software.

  • All sweepstakes adhere to this agreement and any specific rules we publish. If there's a conflict between this agreement and a specific sweepstake's rules, the latter prevails.

  • Financial Responsibilities: 

  • Any foreign exchange fees or additional costs from purchasing Gold Coins fall on you. Ensure the payment method you use matches the name registered on your MilkyStar account. Discrepancies might lead to account suspension. For resolution, contact our support at [email protected].

  • Payment Medium: 

    • When purchasing Gold Coins, ensure that the payment method you use is both legally registered and beneficially owned by you. The name on this payment method should match the name you've registered with on your MilkyStar account.

    • For seamless transactions, we, along with our authorized agents and contractors, will securely store your payment details, such as card numbers or tokens. By agreeing to these terms, you grant MilkyStar and its partners permission to retain this information in line with prevailing payment processing standards and regulations.

    • To engage in any Social Game on MilkyStar, you must have an adequate balance of Game Tokens in your account. If your balance runs low, we might occasionally grant you additional Game Tokens. While you can purchase Game Tokens whenever you wish, be aware that there might be set minimum or maximum purchase limits, which we'll update periodically.

    • Purchasing Game Tokens grants you a license to participate in our Social Games. It's crucial to understand that these tokens represent in-game assets and not real money deposits. Consequently, any amount spent on buying Game Tokens is non-refundable. They hold no monetary value outside the platform.

    • These special tokens, associated with sweepstakes entries, are not available for purchase. Instead, you can obtain them for free under specific conditions, as outlined in our Sweepstakes Official Rules.

    • If we detect discrepancies between the name on your MilkyStar account and your payment method, we will suspend your account immediately to protect your security and interests.

    • In the event of account suspension due to the aforementioned discrepancies, please reach out to our support team at [email protected]. We'll guide you through our verification process to resolve the issue.

    • For the safety of our users and to ensure the integrity of our platform, MilkyStar reserves the right to request additional documents or information. This is to verify the ownership and authenticity of the payment method used for Gold Coin purchases.

  • Gold Coin Purchases: 

    • Not all Gold Coin packages come with Starsweep Coins. Review the terms of all packages before purchase from our terms regarding Sweeps Rules. All purchases are final and non-refundable.

    • Buying Gold Coins grants you a license to participate in our games. These purchases are irreversible and non-refundable. Gold Coins don't possess real monetary value. Occasionally, we might offer Starsweep Coins as rewards, details of which can be found in specific sections of our terms regarding Sweeps Rules.

    • You can only play if you have adequate Gold Coins or Starsweep Coins in your account. We might set limits on Gold Coin purchases occasionally. Once you commit Gold or Starsweep Coins to a game, you cannot retract or modify them. The respective tokens will be immediately deducted from your account balance.

  • Account Irregularities: 

    • We reserve the right to nullify game participation if we identify errors, be they human, system, or tech-related. In case of discrepancies between game results on your device and our server, our server's outcome is deemed final.

    • If any purchase reversals, chargebacks, or unauthorized transactions are detected, your account will be suspended. The amount in question will be considered a debt you owe to MilkyStar. Until resolved, all winnings and purchase requests will be nullified.

  • Refunds and Payment discrepancies: 

    • No Refunds. All acquisitions of Gold Coins are conclusive. Once you've made a purchase, it cannot be refunded, transferred, or exchanged.

    • If you notice any discrepancies or issues with your billing, it's essential to inform us within 30 days of the transaction date. Failing to report within this timeframe means you forfeit the right to challenge or dispute the said discrepancies.

    • Should any payment reversals, charge-backs, claims, or other financial liabilities arise due to transactions you've either authorized or that have been made through your Customer Account (even if without your consent), you are obligated to cover all related costs. This includes any fees, fines, penalties, and associated expenses we might incur as a result.

4. Prize Redemption

  •  Understanding Game Rules: 

    • Disclaimer: Participants should be aware that our Sweepstakes are not affiliated with, endorsed by, or administered by Google Inc. or Apple Inc. Neither Apple nor Google will be held accountable for any damages or losses, whether they're direct, indirect, incidental, consequential, or punitive, resulting from the Sweepstakes.

    • Typically, any Sweeps Coin given to you needs to be used in gameplay at least once before you can redeem it as a Prize unless stated otherwise within the specified promotion. 

    • However, in certain situations, as outlined in the section of our terms regarding Sweeps Rules, we might ask you to play with the Sweeps Coins more frequently or a number of times, across various Promotional Play Games. Only after meeting this requirement can you redeem them as a Prize.

    • For a comprehensive understanding of the redemption criteria, please refer to our terms regarding Sweeps Rules. This document provides in-depth explanations about the conditions that must be satisfied to redeem Prizes.

  • Payment Methods for Prize Redemption: 

    • Prizes will typically be credited to the payment method you used to purchase Gold Coins.

    • When MilkyStar awards prizes as gift cards, these will be sent to the email address you've provided.

    • It's crucial for participants to ensure the accuracy of their email addresses. If an incorrect email is provided and we've already processed the prize redemption, we won't reissue the gift card.

    • If we don't receive a valid email address within 60 days of our request, we might not award the gift card, and the prize could be considered void.

    • If direct crediting isn't feasible, you can specify an alternate financial account. Ensure this account is legally registered under your name.

    • We might ask you to use the same payment method for both purchasing Gold Coins and redeeming Prizes, or we might specify a particular payment method.

    • Ensure you've read and understood our Rules Regarding Starsweep Coins to be eligible for prize redemption.

    • Participation in certain games may require additional eligibility checks, as detailed in our Award Rules.

  • Account & Payment Details:

    • It's crucial to provide accurate email and financial details. Incorrect details can lead to voided prizes or delays in payment processing which you will solely be responsible for the accuracy of those details.

    • We may conduct identification and verification checks. Until these checks are satisfactorily completed, prize redemption requests will remain pending.

    • If we mistakenly credit your account with prizes, the amount will be deducted. Any wrongly transferred amount constitutes a debt owed by you to us.

    • If your bank or online wallet doesn't accept payments from us, you'll need to provide an alternative. If you can't provide a suitable alternative within 60 days of our request, we might consider the prize void.

    • You can only update or add payment details when logged into your account during the prize redemption process. We won't make these changes on your behalf.

  • Prize Redemption Limitations:

    • Prize redemptions may be subject to daily limits and processing times. Large prize amounts might be paid in increments over several days.

    • We will only process one prize redemption request per account in a 24-hour period.

    • If you choose to redeem Prizes for cash but refuse to accept payments made to your nominated bank account or online wallet by the Company, you must refuse the amount in its entirety. If you refuse prize payments more than twice in a 3-month period, we may investigate your account being used for potential fraudulent activity.

  • Responsibilities & Liabilities: 

    • If you participate in games but are ineligible, you won't be allowed to collect any prize.

    • Prizes over a certain amount will require tax reporting. We'll provide necessary tax documentation and report prize values to relevant tax authorities.

    • If you win a cash prize, ensure your bank or financial institution accepts payments from MilkyStar. We won't verify this for you.

    • Prizes awarded in cash will be paid into a joint account or joint wallet provided that one of the names on the joint account or joint wallet matches the name you provided when registering your Account or your verified name and all verification checks we require in relation to you and the other account holder are completed to our satisfaction.

    • We won't deposit into accounts on behalf of someone else or those held for third-party benefits.For the avoidance of doubt, if either joint account holder does not satisfy our verification requirements, as determined solely at our discretion, we will not make payments into the nominated joint account. 

    • Prizes awarded in cash will not be paid into a joint account or joint wallet where one of the joint owners is a minor, to a custodial account, or to any account held on trust for, or for the benefit of, a third party. 

  • Limitations & Requirements

    • For users accessing our services from New York or Florida, the maximum prize value you can win during any Sweepstakes is US $5,000. Any attempt to redeem prizes exceeding this amount will be rejected.

    • We process only one prize redemption request per account in a 24-hour period. Redemption might take up to 10 business days, with potential delays due to identity verification. Prizes over US$10,000 might require extended processing times and could be paid in multiple installments. Including but not limited to bank clearance, enhanced security measures, and fraud prevention checks.

    • These factors can extend the processing time by up to 7 days beyond our standard timeline. However, the exact duration varies based on individual transaction details.

    • In New York and Florida, if you win a prize on a single spin or play that exceeds USD $5,000, it will be capped at USD $5,000.

    • We have set a daily prize redemption limit of US$10,000 per participant.

    • For substantial prize amounts, MilkyStar may choose to disburse the total in multiple smaller payments.

    • This distribution can span several days until the full prize amount is settled.

  • General: 

    • We offer users the chance to participate in various online games, some of which may award prizes. Ensure you meet all eligibility criteria before participating.

    • Always ensure you're updated with our latest terms and conditions by checking our official website.
      For security and compliance reasons, MilkyStar, along with its associated third-party service providers, will conduct necessary identification, credit, and other verification checks.

    • Until the completion and satisfactory approval of all required verification checks, any prize redemption requests you submit will be on hold.

    • The verification process may involve requesting and reviewing copies of your photo identification (e.g., passport, photo identification). Verifying your residential address using documents like utility bills. Assessing the source of your wealth or funds through documents such as payslips or bank statements.

    • Where any identification, credit, or other verification checks we require cannot be completed to our satisfaction because you have not provided any document we request from you in the form that we require within 30 days of the date the document was first requested, we are under no obligation to continue with the verification check, and we may, in our sole discretion, deactivate or otherwise restrict your Account in any manner that we may reasonably deem appropriate. 

    • You further agree that we are entitled to restrict your Account in any manner that we may reasonably deem appropriate, including by suspending or deactivating your Account. Users who request the redemption of prizes held in a deactivated or suspended account should contact Customer Support. 

  • Closed Accounts and Redemption: 

    • If your Customer Account is suspended or closed and you wish to redeem prizes, please reach out to our Customer Support team at [email protected].

    • However, reaching out does not guarantee redemption. Your eligibility and rights for redemption are governed by our Terms of Service.

    • MilkyStar reserves the right to impose restrictions on your account, including suspension or deactivation, based on our assessment and discretion.

    • If your account is deactivated or suspended and you wish to redeem prizes, it's essential to contact our Customer Support for guidance at [email protected].

5. Verification and Payment Procedures

To ensure the security and integrity of our platform, MilkyStar, along with any third-party service providers we engage, reserves the right to conduct necessary identification, credit, and other verification checks. Until these checks are satisfactorily completed, any prize redemption requests you submit will be held in a pending status.

  • For Prize redemptions that are equal to or exceed US$1,000, we will implement enhanced verification procedures in line with our anti-financial crime policies. This may include, but is not limited to:

    • Reviewing copies of your identification documents, such as a passport or other photo IDs.

    • Verifying your address through documents like utility bills.

    • Assessing the source of your wealth or funds, which could involve examining payslips or bank statements.

  • If you fail to provide the requested documents in the specified format within 30 days from our initial request, MilkyStar is not obligated to continue the verification process. Consequently, we may choose to restrict, suspend, or close your account based on our discretion.

  • Furthermore, MilkyStar may appoint one or more Payment Administration Agents to manage payments on our behalf. These agents possess the same rights as MilkyStar under our terms and can act on our behalf or in their own name. MilkyStar is not liable for any issues arising from the actions of these agents beyond their given authority.

  • Starsweep Coins in your account are valid for 60 days from your last login. Post this period, they will expire. They may also be forfeited if your account is closed for any reason or at our discretion.

  • For prize redemptions, you can only update or add payment details when logged into your account and during the redemption process. MilkyStar cannot make these changes on your behalf.

  • Lastly, if you suspect any discrepancies or have concerns regarding prize redemptions from a suspended or closed account, please reach out to our Customer Support. However, reaching out does not guarantee a right to redemption; your rights are as outlined in our Terms of Service.

Before filing a claim action against MilkyStar, you agree to first trying to resolve the issue using our internal complaint process detailed in section 20. If the issue remains unresolved after following section 20, you can then proceed with the dispute resolution methods described in this section (section 22). MilkyStar pledges to proactively reach out and attempt to amicably resolve any claims with all reasonable efforts before taking formal actions.

22. Binding Arbitration Agreement and Procedures

Administration and Rules:The arbitration will be overseen by the American Arbitration Association (“AAA”) and will follow the AAA's Commercial Arbitration Rules and Supplementary Procedures for Consumer Related Disputes, or any subsequent rules in place when arbitration is initiated.     • A single arbitrator, in line with the AAA Rules, will handle the arbitration.

  • Arbitration Fees:

    • The AAA Rules will determine the payment of all arbitration fees.

    • Both parties will bear their respective lawyer, expert, and witness fees and costs, unless the law or the rules of the arbitration association state otherwise. MilkyStar will always cover fees and costs necessary to enforce this arbitration provision.

  • Location and Mode:

    • Unless the AAA Rules specify otherwise, the arbitration will take place in Wilmington, DE. If you prefer, the arbitration can be conducted over the phone or through other electronic means.

  • Remedies and Injunctive Relief:

    • The arbitrator has the authority to grant any remedies, including injunctive relief, that would be available in an individual lawsuit and that are not waivable under the law. However, if either party seeks injunctive relief that could significantly impact other MilkyStar users, the arbitration will still be on an individual basis but will be overseen by a panel of three arbitrators. Each party will choose one arbitrator, and the two chosen arbitrators will then select a third, who will act as the chair of the panel. This chairperson should either be a retired judge or a licensed attorney with experience in arbitration or mediation. If there's a dispute about whether a three-arbitrator panel is needed, the initially appointed sole arbitrator will decide. If it's determined that a three-person panel is appropriate, the sole arbitrator can be part of this panel if chosen by either party or as the chair by the two initially selected arbitrators.

  • Confidentiality:

    • Unless required by law, both the arbitration process and any resulting award will remain confidential.

  • Agreement to Arbitrate:

    • By using MilkyStar's services, both you and MilkyStar agree to resolve any disputes or causes of action arising out of or related to the use of the services through final and binding arbitration. This includes any dispute concerning the enforceability, validity, scope, or severability of this arbitration agreement. This means that all disputes will be resolved individually, without resort to any form of class action.

  • Opting Out of Arbitration:

    • If you do not wish to be bound by this arbitration agreement, you have the option to decline it. To do so, please send an email to [email protected] within 30 days of first accepting these terms. Your email should include your full name and a clear statement that you decline the arbitration clause. By opting out, you can still use MilkyStar's platform, but neither you nor MilkyStar can invoke this mutual agreement to arbitrate for resolving disputes.

    • The arbitration will be conducted under Commercial Rules of the American Arbitration Association (“AAA”), e.g., "American Arbitration Association (AAA)" and will be held in Wilmington, DE. The arbitrator will apply relevant statutes of limitations and privilege rules as would be applied in court.

    • This arbitration agreement will remain in effect even if this Agreement is terminated, the services are terminated, your account is closed, or in the event of bankruptcy. If there's a conflict between this arbitration provision and any other agreement or rules of the arbitration association, this arbitration provision will prevail.

23. Individual Arbitration Agreement

PLEASE READ THIS SECTION CAREFULLY. It outlines the nature of arbitration proceedings between you and the DDV, Inc.

  • Individual Basis Arbitration:

    • Both you and the DDV, Inc commit to resolving any disputes through arbitration on an individual basis. Neither party can initiate or be part of a collective or class arbitration.

  • Definition of Collective Arbitration:

    • To provide clarity, a claim against DDV, Inc will be considered as part of a collective arbitration if:

      1. (a) Two or more similar arbitration claims are filed at the same time (pending) by or on behalf of one or multiple claimants.

      2. (b) The legal representatives for these claimants are the same, share their fees, or collaborate in any manner across the different arbitration cases.

  • Timing of Claims:

    • The term "pending" in this context means that multiple arbitration claims are active and unresolved at the same moment.

  • Note: This section emphasizes the importance of individual arbitration and provides clear definitions to prevent any ambiguities. Ensure you understand your rights and the nature of arbitration before proceeding with DDV, Inc.

24. Restriction on Collective Arbitration and Class Action 

PLEASE READ THIS SECTION CAREFULLY. It outlines specific limitations on how you and the DDV, INC can address disputes.

  • Individual Dispute Resolution:

    • Section 24: Both you and the DDV, INC agree that any disputes will be addressed on an individual basis. This means:

      1. NEITHER PARTY CAN COMBINE MULTIPLE DISPUTES from different individuals or entities into one case.

      2. NEITHER PARTY CAN PARTICIPATE IN COLLECTIVE ARBITRATION (as previously defined) or represent a group in any dispute.

      3. NEITHER PARTY CAN ACT ON BEHALF OF THIRD PARTIES or seek damages for third-party losses.

  • Waiver of Rights: 

    • All rights to consolidate, join, or coordinate disputes, or to participate in collective arbitration or litigation in a representative capacity, are unequivocally and unconditionally waived by both parties.

  • Validity of Agreement: 

    • If any part of section 24 is deemed invalid or not fully enforceable, then the entire Section 20 (Dispute Resolution and Arbitration Agreement) may be considered null and void. This means neither party can rely on the terms set out in Section 20 for resolving disputes.

    • This section emphasizes the importance of individual dispute resolution and provides clear definitions to prevent any ambiguities. Ensure you understand your rights and the nature of dispute resolution before proceeding with DDV, INC.

25. General Agreement & Amendments 

  • ENTIRE AGREEMENT: 

    • The Terms of Service represent the complete and exclusive understanding between you and us regarding your participation. They replace all prior or simultaneous discussions, negotiations, and agreements, whether they are electronic, verbal, or written.

  • AMENDMENTS: 

    • DDV, inc can modify these Terms of Service or introduce new procedures at any time. Changes will be posted on the Platform and will be effective immediately.

  • NOTIFICATION: 

    • If we make changes that might limit your rights or be detrimental to you, we will inform you during your next visit to the Platform. You must re-confirm your acceptance before playing any games. If you disagree with the changes, you should stop using the Platform.

  • TAX RESPONSIBILITY: 

    • You are solely accountable for any taxes related to prizes you earn from participating.

  • UNFORESEEN CIRCUMSTANCES - FORCE MAJEURE: 

    • DDV, inc is not responsible for any delays or failures in fulfilling our obligations due to events beyond our control.

  • RELATIONSHIP: 

    • These Terms of Service don't imply any partnership, agency, trust, or joint venture between you and us.

  • SEVERABILITY: 

    • If any part of these Terms is found to be illegal, invalid, or unenforceable, that part will be modified to reflect the original intention or removed, while the rest of the Terms remain in effect.

  • CLARIFICATIONS: 

    • We believe these Terms are transparent and fair. For clarifications, contact [email protected].

  • PRIORITY:  

    • These Terms of Service take precedence over any email or chat communications.

  • RECORDING: 

    • All interactions between you and us might be documented.

  • ASSIGNMENT: 

    • These Terms are specific to you. You can't transfer or assign them without our written approval. However, we can assign our rights and obligations to a third party without notifying you.

  • BUSINESS TRANSFERS: 

    • If MilkyStar undergoes a business transition, such as a merger, acquisition, or asset sale, your Customer Account and its associated data might be among the transferred assets. Should this occur, we will notify you either through email or on our Platform, detailing your choices concerning the transfer of your account.

  • LANGUAGE PREFERENCE: 

    • While we offer these Terms of Service in multiple languages for your convenience, only the English version holds legal significance in our relationship. If there's a discrepancy between the English version and any other language, the English version prevails.

  • GOVERNING LAW: 

    • Our relationship, these Terms of Service, and your use of the Platform are all governed by the laws of the State of Delaware, USA, excluding its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods doesn't apply.

  • PRIORITY OF TERMS: 

  • OPERATIONAL BASE: 

    • The Games are primarily operated from the USA, and by participating, you acknowledge that your interactions occur within this territory. Our contractual relationship is considered to have been established and executed in the United States of America.

  • JURISDICTION: 

    • Except as mentioned in Section 22, any disputes or claims related to these Terms of Service will be exclusively addressed by courts in the USA. Both parties consent to the jurisdiction of these courts. However, any motion to enforce an arbitration award or compel arbitration can be presented to any competent court.

    • It's essential to be aware of and agree to these terms before using the platform.
